END-USER LICENCE AGREEMENT AND TERMS OF SERVICE

This End-User Licence Agreement and Terms of Service (Agreement) applies to the Solocator mobile application, including any paid features, in-app purchases, enterprise deployments and related websites or web services. This Agreement is between Civi Corp Pty Ltd (Civi CorpLicensorweus or our) and the person or organisation that downloads, installs, accesses or uses Solocator (you or your). If you use Solocator on behalf of a company, government agency, corporate entity or other organisation, you represent and warrant that you are authorised to bind that organisation to this Agreement. In that case, references to “you” include that organisation and its authorised users. By downloading, installing, accessing or using Solocator, you agree to this Agreement. If you do not agree, you must not download, install, access or use Solocator.

 

1. Definitions

In this Agreement:

Application means the Solocator mobile application, including any updates, upgrades, modules, paid features, in-app purchases and associated functionality.

Documentation means any user guides, support materials, FAQs, website materials, export templates or technical information made available by Civi Corp in relation to the Application.

Managed User means an employee, contractor, agent or other authorised user who receives access to the Application through an organisation, enterprise deployment, mobile device management solution or volume purchasing arrangement.

Premium Features means paid features, in-app purchases, subscription features, industry pack features, enterprise features or other paid functionality made available in or through the Application.

User Content means photos, images, metadata, GPS data, coordinates, addresses, field notes, project names, descriptions, watermarks, logos, exported files, KML/KMZ/CSV files and other content created, captured, imported, stored, processed or exported by you through the Application.

Websites means https://www.solocator.com and any related Solocator subdomains, online support pages, account management interfaces or web-based services made available by Civi Corp.

 

2. Licence Grant

Subject to this Agreement, Civi Corp grants you a limited, revocable, non-exclusive, non-transferable licence to download, install and use the Application on compatible mobile devices that you own or control, solely for your internal personal or business purposes.

Your use of the Application must comply with:

  1. this Agreement;
  2. all applicable laws;
  3. the Apple Media Services Terms and Conditions, where the Application is obtained through the Apple App Store;
  4. the Google Play Terms of Service, where the Application is obtained through Google Play; and
  5. any applicable volume purchasing, enterprise deployment or mobile device management terms.

No ownership rights in the Application, Websites, Documentation or Civi Corp intellectual property are transferred to you.

 

3. Platform Provider Terms

3.1 Apple App Store
Where the Application is downloaded from the Apple App Store:

  1. this Agreement is between you and Civi Corp only, and not Apple Inc. (Apple);
  2. Civi Corp, not Apple, is solely responsible for the Application and its content;
  3. Apple has no obligation to provide maintenance or support services for the Application;
  4. if the Application fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price for the Application in accordance with Apple’s applicable policies;
  5. to the maximum extent permitted by law, Apple has no other warranty obligation in relation to the Application;
  6. Civi Corp, not Apple, is responsible for addressing any claims by you or any third party relating to the Application, including product liability claims, consumer protection claims, privacy claims or claims that the Application fails to comply with applicable legal or regulatory requirements;
  7. if a third party claims that the Application or your possession or use of the Application infringes that third party’s intellectual property rights, Civi Corp, not Apple, is responsible for the investigation, defence, settlement and discharge of that claim, to the extent required by this Agreement and applicable law; and
  8. Apple and its subsidiaries are third-party beneficiaries of this Agreement and, upon your acceptance of this Agreement, Apple has the right to enforce this Agreement against you as a third-party beneficiary.

3.2 Google Play
Where the Application is downloaded from Google Play, your download, installation, billing, refunds and account management may also be governed by the Google Play Terms of Service and related Google policies. Civi Corp is responsible for the Application, subject to this Agreement and applicable law.

 

4. Websites and Web Services

This Agreement also applies to your use of the Websites and any web-based support, map viewing, export template, documentation, account management or related services provided by Civi Corp.

You must not use the Websites or web services:

  1. unlawfully;
  2. in a way that interferes with their availability, security or integrity;
  3. to attempt unauthorised access to systems, data or accounts;
  4. to scrape, copy or reproduce substantial parts of the Websites except as expressly permitted; or
  5. to misrepresent your identity, authority or affiliation.

Civi Corp may modify, suspend or discontinue any Website or web service at any time, subject to applicable law.

 

5. Permitted Use and Restrictions

You must not, and must not permit any other person to:

  1. copy the Application except as expressly permitted by this Agreement or applicable platform terms;
  2. sell, resell, rent, lease, lend, sublicense, distribute or commercially exploit the Application as a standalone service;
  3. reverse engineer, decompile, disassemble or attempt to derive the source code of the Application, except to the extent that such restriction is prohibited by law;
  4. modify, adapt, translate or create derivative works from the Application;
  5. remove, alter or obscure copyright, trade mark or proprietary notices;
  6. use the Application to violate any law, regulation, court order, contractual duty or third-party right;
  7. use the Application to capture, store, export or share content where you do not have the necessary rights, permissions or lawful basis;
  8. interfere with or disrupt the Application, Websites or third-party services;
  9. bypass technical restrictions, licence controls or security features; or
  10. use the Application in a way that could damage Civi Corp’s systems, reputation or rights.

 

6. Premium Features, In-App Purchases and Subscriptions

The Application may offer Premium Features, including industry pack features, field notes, logos, custom export functions, cloud export tools, coordinate formats and other paid functionality.

6.1 App store billing
Where Premium Features are purchased through the Apple App Store or Google Play, billing, payment processing, renewal, cancellation and refund processes are managed by the relevant platform provider. You are responsible for managing subscriptions and cancellations through your Apple ID, Google Account or other relevant platform account.

6.2 Renewals and cancellation
If a Premium Feature is offered as a subscription, it may automatically renew unless cancelled before the renewal deadline specified by the relevant platform provider. Civi Corp is not responsible for your failure to cancel a subscription through the applicable platform account settings.

6.3 Refunds
Except as required by law, Civi Corp does not provide direct refunds for purchases processed by Apple, Google or another third-party platform. Refund requests for platform-managed purchases must be directed to the relevant platform provider. Nothing in this Agreement excludes, restricts or modifies any rights you may have under the Australian Consumer Law or any other non-excludable law.

 

7. Enterprise Deployment, Volume Purchasing and MDM Use

This clause applies where the Application is acquired, deployed or used by an organisation, including through Apple Business Manager, Managed Google Play, mobile device management (MDM) solutions, enterprise procurement or direct invoicing by Civi Corp.

7.1 Organisation responsibility
The organisation is responsible for:

  1. all use of the Application by its Managed Users;
  2. ensuring Managed Users comply with this Agreement;
  3. maintaining appropriate device, network, security, privacy and backup policies;
  4. obtaining all necessary internal approvals and user consents;
  5. configuring MDM profiles, permissions and network settings; and
  6. ensuring the number of active users, devices or seats does not exceed the number of licences purchased or authorised.

7.2 Volume distribution
Licences acquired through Apple Business Manager, Managed Google Play or similar deployment systems may be distributed, managed, revoked and reassigned by the organisation in accordance with the applicable platform rules. Unless otherwise agreed in writing, each licence may only be used by one Managed User or on one active device at a time.

7.3 Direct enterprise billing
Where Civi Corp invoices an organisation directly:

  1. licence fees are payable in accordance with the invoice or written commercial terms agreed by Civi Corp;
  2. unless otherwise stated, invoices are payable within the payment period specified on the invoice;
  3. amounts are exclusive of GST unless stated otherwise;
  4. the organisation must pay all applicable GST, taxes, duties and government charges in connection with the supply;
  5. purchase order terms or procurement terms issued by the organisation do not apply unless expressly accepted in writing by Civi Corp;
  6. Civi Corp may suspend or withhold access to enterprise licences for non-payment, subject to any agreed written terms and applicable law; and
  7. fees are non-refundable except as expressly stated in writing or required by law.

7.4 Licence audit and seat enforcement
Civi Corp may reasonably verify whether the number of active Managed Users, devices or deployed seats exceeds the number of paid licences.

If usage exceeds the purchased or authorised licence count, the organisation must promptly:

  1. purchase additional licences; or
  2. reduce usage to the licensed quantity.

7.5 MDM, networks and device management
The Application may require device permissions, storage access, camera access, location services, compass calibration, internet connectivity and access to third-party services.

Civi Corp is not responsible for failures, delays, data loss or degraded functionality caused by:

  1. MDM profiles;
  2. remote wipe or enterprise wipe commands;
  3. device restrictions;
  4. VPNs, firewalls, proxy servers or blocked ports;
  5. data loss prevention settings;
  6. revoked permissions;
  7. corporate network configurations;
  8. disabled background processes;
  9. cloud storage policies; or
  10. device retirement, replacement or reset processes.

 

8. User Content and Data Ownership

As between you and Civi Corp, Civi Corp claims no ownership of your User Content.
You retain all rights that you have in your User Content. You are solely responsible for:

  1. the accuracy, legality and integrity of your User Content;
  2. ensuring that you have all necessary rights, permissions, consents and lawful bases to capture, store, process, export and share User Content;
  3. complying with privacy, surveillance, workplace, evidence, confidentiality, intellectual property and data protection laws;
  4. determining whether photographs or location records may identify individuals, private premises, confidential sites or sensitive locations;
  5. managing access to exported files and shared links; and
  6. retaining appropriate backups.

You grant Civi Corp a limited licence to process User Content only to the extent necessary to operate, support, maintain, troubleshoot and improve the Application and related services, and as otherwise described in the Solocator Privacy Policy.

 

9. Local Storage, Offline Use and Backups

The Application may store photos, metadata, project notes, coordinate data and export files locally on your device. The Application may be used in offline or low-connectivity environments. However, offline functionality, GPS performance, map loading, reverse geocoding, export queues and cloud synchronisation may be limited by device, network and third-party service conditions.

You are responsible for:

  1. backing up User Content;
  2. verifying successful exports and uploads;
  3. ensuring sufficient device storage;
  4. maintaining device backups through iCloud, Google One, local backups or enterprise backup systems;
  5. preserving original files where required; and
  6. implementing record retention and chain-of-custody procedures where required.

Civi Corp does not operate a central backup service for your photos, coordinates, project notes or exported files unless expressly stated in writing. If User Content is deleted from your device before it is backed up, exported or synchronised, Civi Corp may have no technical ability to recover it.

 

10. Remote Wipes and Deletion

If an organisation performs an MDM remote wipe, enterprise wipe, device reset, app removal, profile removal or unenrolment, User Content stored locally within the Application may be permanently deleted.

Civi Corp is not responsible for data loss caused by:

  1. device deletion;
  2. app deletion;
  3. MDM commands;
  4. revoked permissions;
  5. accidental deletion;
  6. operating system updates;
  7. insufficient storage;
  8. failed backups; or
  9. user or organisation configuration decisions.

 

11. GPS, Location and Sensor Accuracy

The Application is a utility tool designed to assist with capturing and overlaying geolocation-related information on photographs, including coordinates, altitude, compass bearing, direction, time, street address and related metadata.

You acknowledge that location, direction, address, altitude, tilt, roll and related data may be affected by:

  1. device hardware;
  2. GPS, GNSS and satellite availability;
  3. network availability;
  4. assisted GPS performance;
  5. atmospheric conditions;
  6. buildings, tunnels, vegetation and other obstructions;
  7. magnetic interference;
  8. compass calibration;
  9. operating system settings;
  10. third-party map or geocoding providers; and
  11. user configuration or manual adjustments.

The Application must not be used as the sole or authoritative source for:

  1. legal boundary identification;
  2. cadastral or engineering surveying;
  3. safety-critical navigation;
  4. emergency response decisions;
  5. aviation, marine or vehicle navigation;
  6. structural assessment;
  7. life-safety decisions; or
  8. any purpose requiring survey-grade, forensic-grade or independently certified accuracy.

Civi Corp does not warrant that any GPS coordinate, address, bearing, altitude, timestamp, metadata field or overlay is complete, current, accurate, admissible or suitable for your specific purpose.

 

12. Photo Documentation and Evidentiary Use

The Application may assist with fieldwork, site records, inspection photographs and photo documentation. However, Civi Corp does not warrant that any photo, metadata, coordinate record, timestamp, overlay or exported file will:

  1. be admissible in court or tribunal proceedings;
  2. satisfy evidentiary rules;
  3. establish chain of custody;
  4. prove the identity of a photographer;
  5. prove that a photograph has not been altered;
  6. satisfy forensic imaging standards;
  7. meet regulatory recordkeeping requirements; or
  8. be accepted by an insurer, regulator, court, client or counterparty.

You are responsible for determining and implementing any procedures required for evidentiary use, including file retention, original image preservation, audit logs, access controls, witness statements, hash values, device controls, metadata preservation and expert verification.

 

13. Third-Party Services

The Application may interact with third-party services, including Google Drive, Dropbox, Microsoft OneDrive, SharePoint, Microsoft Teams, Box, Apple iCloud, email clients, map services, geocoding services and device operating system services. Your use of third-party services is governed by the terms, privacy policies and technical requirements of those third-party providers.

Civi Corp is not responsible for:

  1. third-party outages;
  2. API changes or deprecations;
  3. authentication failures;
  4. revoked permissions;
  5. account suspensions;
  6. cloud storage quota limits;
  7. rate limits;
  8. file corruption during transfer;
  9. incorrect folder permissions;
  10. unauthorised access to third-party accounts;
  11. deletion or overwriting of files in third-party services;
  12. map inaccuracies; or
  13. changes to third-party pricing, features or availability.

When you authenticate or connect a third-party service, you authorise the Application to interact with that service in accordance with the permissions granted by you or your organisation.

 

14. Privacy and Diagnostic Data

Civi Corp may collect and process technical, diagnostic and usage information relating to the Application, including device model, operating system version, crash logs, performance data, app configuration, feature usage, diagnostic events and support information. Civi Corp will handle personal information in accordance with the Solocator Privacy Policy. Where reasonably practicable, diagnostic and analytics data will be aggregated or de-identified. However, some technical information may constitute personal information under applicable privacy laws. You must not use the Application to capture, store, export or share personal information, sensitive information, confidential information or images of identifiable individuals unless you have a lawful basis to do so. If you use the Application on behalf of an organisation, that organisation is responsible for its own privacy compliance, notices, consents, data retention rules and internal access controls.

 

15. Intellectual Property

The Application, Websites, Documentation, software code, user interface, workflows, designs, trademarks, logos, icons, overlays, layout systems, export frameworks and related technology are owned by Civi Corp or its licensors. Except for the limited licence expressly granted under this Agreement, no right, title or interest in any Civi Corp intellectual property is transferred to you. You must not use Civi Corp’s trademarks, logos or branding except as expressly permitted in writing.

 

16. Updates and Changes

Civi Corp may provide updates, upgrades, patches, bug fixes or modified versions of the Application.
Updates may:

  1. add, change or remove features;
  2. require updated operating systems;
  3. change third-party integrations;
  4. alter export formats;
  5. improve security;
  6. modify performance; or
  7. be required for continued use.

You acknowledge that failure to install updates may affect functionality, compatibility, security or access to Premium Features. Civi Corp may modify this Agreement from time to time. Where required by law or where changes are material, Civi Corp will take reasonable steps to notify users. Continued use of the Application after updated terms take effect constitutes acceptance of the updated terms.

 

17. Support

Civi Corp will provide support for the Application through its usual support channels, subject to availability, operating hours and the nature of the request.

Civi Corp is not required to provide support for issues caused by:

  1. unsupported devices;
  2. unsupported operating systems;
  3. unauthorised modifications;
  4. jailbroken or rooted devices;
  5. third-party services;
  6. MDM restrictions;
  7. user configuration;
  8. network restrictions;
  9. beta operating systems; or
  10. use contrary to this Agreement or Documentation.

 

18. Warranties and Australian Consumer Law

Nothing in this Agreement excludes, restricts or modifies any consumer guarantee, warranty, right or remedy that cannot lawfully be excluded, restricted or modified, including under the Competition and Consumer Act 2010 (Cth) and the Australian Consumer Law. Subject to those non-excludable rights, the Application, Websites and Documentation are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Civi Corp excludes all warranties, representations and conditions, whether express, implied, statutory or otherwise, including warranties of accuracy, reliability, availability, fitness for purpose, non-infringement and uninterrupted operation.

Where Civi Corp is permitted to limit liability for breach of a non-excludable guarantee, Civi Corp’s liability is limited, at its option, to:

  1. resupplying the relevant goods or services;
  2. repairing the goods;
  3. paying the cost of resupply; or
  4. paying the cost of repair,

except where it would not be fair or reasonable to do so under applicable law.

 

19. Limitation of Liability

To the maximum extent permitted by law, Civi Corp is not liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, including loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, loss of data, loss of photos, loss of coordinates, loss of project notes, business interruption, third-party contractual penalties or regulatory consequences.

To the maximum extent permitted by law, Civi Corp’s total aggregate liability arising out of or in connection with this Agreement, the Application, Websites or Documentation is limited to the greater of:

  1. the amount paid by you to Civi Corp for the Application or relevant Premium Feature in the 12 months before the event giving rise to liability; and
  2. AUD $100.

This limitation applies whether the claim arises in contract, tort including negligence, statute, equity or otherwise. Nothing in this Agreement limits liability that cannot lawfully be limited, including liability for fraud, wilful misconduct or non-excludable statutory rights.

 

20. Indemnity

You indemnify Civi Corp against any loss, damage, liability, cost or expense arising from:

  1. your breach of this Agreement;
  2. your unlawful use of the Application;
  3. your User Content;
  4. your breach of privacy, surveillance, confidentiality, intellectual property or data protection laws;
  5. your sharing or publication of photos, metadata, coordinates or exported files;
  6. your enterprise deployment or MDM configuration; or
  7. any claim by a third party arising from your use of the Application.

This indemnity is reduced to the extent the relevant loss is caused by Civi Corp’s negligence, breach of this Agreement or unlawful conduct.

 

21. Export Control and Sanctions Compliance

You represent and warrant that:

  1. you are not located in a country or territory subject to applicable Australian, United States, United Nations or other relevant sanctions or embargoes;
  2. you are not listed on any applicable restricted party, denied party or sanctions list;
  3. you will not use, export, re-export or transfer the Application in breach of applicable export control or sanctions laws; and
  4. you will not use the Application for any prohibited military, nuclear, chemical, biological, missile, surveillance or unlawful purpose.

 

22. Suspension and Termination

This Agreement continues until terminated.
You may terminate this Agreement by deleting the Application and ceasing all use of the Application and Websites.

Civi Corp may suspend or terminate your access to the Application, Premium Features, enterprise licences or web services if:

  1. you breach this Agreement;
  2. fees are overdue;
  3. continued access may create legal, security or operational risk;
  4. required by law or a platform provider;
  5. your use may infringe third-party rights; or
  6. your organisation exceeds authorised licence quantities and does not remedy the excess after notice.

On termination:

  1. your licence to use the Application ends;
  2. you must cease using the Application and Websites;
  3. you must delete copies of the Application if required;
  4. accrued payment obligations remain payable; and
  5. clauses intended to survive termination continue to apply, including clauses relating to intellectual property, User Content, privacy, disclaimers, limitation of liability, indemnity, governing law and dispute resolution.

Termination does not automatically delete User Content stored on your device, but deletion of the Application or device management actions may result in loss of locally stored User Content.

 

23. Notices

Civi Corp may provide notices by email, in-app notification, website notice, platform notification or other reasonable means. You are responsible for keeping your account, platform and organisation contact details current.

 

24. Assignment

You must not assign, transfer or novate this Agreement without Civi Corp’s prior written consent. Civi Corp may assign or transfer its rights and obligations under this Agreement in connection with a merger, restructure, sale of assets, business transfer or corporate transaction, provided that such transfer does not materially reduce your rights under this Agreement.

25. Severability

If any provision of this Agreement is invalid, unlawful or unenforceable, that provision is severed or read down to the minimum extent necessary, and the remaining provisions continue in full force.

 

26. Entire Agreement

This Agreement, together with any applicable invoice, written enterprise terms, platform terms and Privacy Policy, constitutes the entire agreement between you and Civi Corp concerning the Application and Websites.

To the extent of inconsistency:

  1. mandatory applicable law prevails;
  2. applicable platform terms prevail for platform-specific billing and distribution matters;
  3. written enterprise terms signed or expressly accepted by Civi Corp prevail for enterprise commercial matters;
  4. this Agreement otherwise prevails.

 

27. Governing Law and Jurisdiction

This Agreement is governed by the laws of New South Wales, Australia. The parties submit to the exclusive jurisdiction of the courts of New South Wales and the Commonwealth courts of Australia sitting in New South Wales.
